Role Summary:

  • Review proposed Summit customer and vendor contracts, highlighting/redlining unacceptable risks and raising relevant business risks for internal alignment with business owners.
  • Maintain a database of Summit’s executed contracts.
  • Draft contract abstracts for common use by Summit sales and procurement staff
  • Coordinate with Director Legal, other Summit staff, and/or outside counsel to negotiate T&Cs with customers and vendors. Communicate with other Summit personnel for context and exercise discretion in editing contracts within established guidelines.
  • Assist the Director Legal and other staff in assessing insurance requirements in customer contracts and work with Summit’s outside insurance contacts in obtaining and providing certificates of insurance.
  • Performs most work independently with little direct supervision and refers more complex issues to Director Legal.

 

Essential Qualifications and Experience:  

  • Ability to handle a high volume of very detailed work, including review of contract terms and conditions.
  • Highly organized and focused on workflow.  
  • Able to understand and analyze significant legal and business concepts included in contract documents.
  • Capable of working with deadline pressures.
  • Create and manage processes to review, comment, communicate, and access contractual terms.
  • Ability to create contract abstracts from terms and conditions.
  • Paralegal certification, or significant progress towards such certification, or equivalent legal training is required.
  • Must exercise initiative to work productively with only general supervision and direction.
  • Work effectively with others, including executives, service center leadership, Associate Services, Procurement, and Finance departments.
  • High degree of organizational skills, computer skills, and written communication skills required.
  • Bachelor’s degree or commiserate experience required.

 

Beneficial Skills and Experience: 

  • Experience with Summit systems, workflow, and sales processes is preferred.
  • Experience creating, configuring, accessing, and managing databases.
  • Prior experience in legal field or with legal concepts, such as experience as a contract specialist, legal assistant, or paralegal.
  • Knowledge of commercial insurance coverages.
  • Prior wholesale or distribution sales or commercial experience.  
  • Good verbal communication skills.
